WordPress Website Creation Contract

1. Introduction

This contract is between R the Company, located at 85 Great Portland Street, First Floor London, Greater London, W1W 7LT, United Kingdom (“Provider”) and [Client] (“Client”) for the creation and development of a WordPress website. By engaging the Provider, the Client agrees to the terms outlined in this contract.

2. Services Provided

Provider agrees to create a WordPress website for the Client based on the selected package as indicated on the Provider’s website. Each package includes different features and services such as web hosting, which may be included or optional depending on the package chosen. For detailed package contents and optional extras, please refer to the Provider’s website. Optional extras include additional SEO, content creation, and enhanced hosting services at an additional cost.

3. Project Timeline and Deliverables

The project will be divided into phases with specific timelines and deliverables agreed upon at the start of the project. Milestones will be set for progress tracking and payment purposes.

4. Client Responsibilities

The Client must provide all necessary materials, including text and images, digitally, error-free, and in one go. Timely feedback and approvals are essential to maintain the project schedule. Delays in response will lead to the project being marked dormant after two reminders, and reactivation fees may apply. Projects dormant for over four weeks will require immediate payment of the remaining balance.

5. Communication

All communication will be conducted through the Provider’s ticket system/project management tool to ensure traceability. The Client must keep their contact information up to date. The Provider is not responsible for issues arising from outdated contact details.

6. Pricing and Payment Terms

The Client agrees to the pricing for the selected package as per the Provider’s website:

  • 25% upfront payment (minimum £125)
  • Remaining balance divided into milestone payments

Late payments will incur a fee of 8.5% interest on overdue amounts, with a minimum charge of £10. Services may be suspended if payment is not received within 30 days of the due date.

7. Revisions and Approvals

The Provider will include a specified number of revisions per package. Additional revisions may incur extra charges. Final approval of the project must be provided in writing.

8. Intellectual Property

The Provider retains ownership of the final design and developed assets until full payment is received. Third-party assets and software rights remain with their respective owners.

9. Confidentiality

The Provider will protect the Client’s proprietary information and will not disclose it except as required by law.

10. Limitation of Liability

The Provider disclaims all warranties and will not be liable for any damages arising from the use of services or products provided. The total liability is limited to the amount paid by the Client for the specific service.

11. Third-Party Software and Licensing

The Client agrees to comply with third-party software licenses used in the project. The Client is responsible for any associated licensing fees.

12. Termination

This Contract will remain in effect for a minimum of three months from the effective date. Either party may terminate the Contract with one invoice period’s notice after the minimum service run of three months. No refunds will be given for early termination. Services will continue until the paid term expires. Responsibilities upon termination include payment for services rendered and data retention/deletion as per the terms agreed.

13. Non-Payment

If payment is not received by the due date, the Provider will issue a notice and allow a 14-day grace period. Continued non-payment will result in service suspension and potential termination. The Client will be liable for all debt recovery costs.

    • Monday – Friday: 9.00 am – 6:00 pm (office), 8.00 – 9.00 am and 6.00 – 12.00 pm (extended support), emergency support 24/7
    • Saturday: 10.00 am – 4:00 pm (office), 8.00 – 10.00 am and 4.00 – 12.00 pm (extended support), emergency support 24/7
    • Sunday: Closed for normal operation, emergency support 24/7

15. Amendments

The Provider may amend the contract terms with prior notice to the Client. Continued use of services constitutes acceptance of the revised terms.

16. Governing Law

This contract is governed by the laws of the United Kingdom.

17. Severability

If any provision is found unenforceable, the remaining provisions will remain valid.
