WordPress Website Maintenance Contract

1. Introduction

  • Parties Involved: This Maintenance Contract (“Contract”) is entered into by R the Company, located at 85 Great Portland Street, First Floor London, Greater London, W1W 7LT, United Kingdom (“Service Provider”), and the client (“Client”).
  • Effective Date: This Contract is effective as of the date the order is paid by the Client.
  • Definitions: The following terms shall have the meanings set forth below:
    • “Services”: The maintenance services described on the Service Provider’s website.
    • “Website”: The Client’s WordPress website to be maintained under this Contract.

2. Scope of Services

  • Maintenance Services Included: The Service Provider, along with its partners, will provide maintenance services as described in the Client’s selected package available on the Service Provider’s website. This may include, but is not limited to:
    • Plugin updates
    • Security monitoring
    • Backups
    • Performance optimization
  • Note: Only the services explicitly listed in the selected package on our website are included.
  • Excluded Services: Any services not listed in the selected package may be provided at an additional cost.

3. Client Responsibilities

  • Providing Access: The Client must provide the Service Provider with all necessary access to the website and relevant systems to perform the services.
  • Content Updates: The Client is responsible for providing accurate and timely content updates as needed.
  • Communication: The Client must maintain regular communication with the Service Provider for optimal service delivery.

4. Service Fees and Payment Terms

  • Pricing: Fees for services are as described on the Service Provider’s website. The specific package selected by the Client determines the pricing.
  • Payment Schedule: Payments are due according to the invoice schedule provided by the Service Provider.
  • Advance Payment: Maintenance contract fees are due upfront before any work is completed.
  • Late Payments: In addition to any other rights under these Conditions, We may charge You interest on any overdue fees from the date payment is due until the fees are paid in full at a rate of 8.5%, with a minimum of £10.

5. Term and Termination

  • Contract Duration: This Contract will remain in effect for a minimum of three months from the effective date.
  • Termination Conditions: Either party may terminate the Contract with one invoice period’s notice after the minimum service run of three months.
  • Refund Policy: No refunds will be given for early termination. Services will continue until the paid term expires.

      • Extended support hours: 8.00 – 9.00 am and 6.00 – 12.00 pm
      • Emergency support: 24/7
    • Saturday:
      • Office hours: 10.00 am – 4:00 pm
      • Extended support hours: 8.00 – 10.00 am and 4.00 – 12.00 pm
      • Emergency support: 24/7
    • Sunday:
      • Office hours: Closed for normal operation
      • Extended support: No set times but support ticket queue is monitored
      • Emergency support: 24/7

7. Confidentiality

  • Data Protection: The Service Provider will protect the Client’s data in accordance with applicable data protection laws.
  • Confidential Information: Both parties agree to maintain the confidentiality of any sensitive information exchanged during the term of this Contract.

8. Liability and Indemnification

  • Limitation of Liability: The Service Provider’s liability under this Contract is limited to the amount paid by the Client for the services. The Client indemnifies the Service Provider against any data loss or service interruptions.
  • Client Indemnification: The Client agrees to defend, indemnify, and hold the Service Provider harmless from any claims, liabilities, losses, or damages arising from the use of the website.

9. Intellectual Property

  • Ownership of Content: The Client retains ownership of all content provided to the Service Provider.
  • Usage Rights: The Service Provider may use the Client’s content only as necessary to perform the services under this Contract.

10. Modification of Agreement

  • Amendments: This Contract may be amended only by written agreement of both parties.
  • Notifications: Any amendments or notifications will be communicated in writing and acknowledged by both parties.

11. Governing Law

  • Jurisdiction: This Contract is governed by the laws of the United Kingdom.
  • Dispute Resolution: Any disputes arising under this Contract will be resolved through mediation.

12. Miscellaneous

  • Entire Agreement: This Contract constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
  • Severability: If any provision of this Contract is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: This Contract cannot be transferred to another party without the Service Provider’s permission.
